  1. SAAS SERVICES AND SUPPORT
    1.1 Provision of Services
    Subject to the terms of this Agreement, Telestar.ai(“Telestar” or the “Company”) will use commercially reasonable efforts to provide the Customer with the agreed Services. During registration, the Customer will select an administrative username and password for their Telestar account. Telestar reserves the right to refuse registration or cancel credentials deemed inappropriate.
    1.2 Technical Support
    Telestar will provide the Customer with reasonable technical support services according to Telestar’s standard support practices.
    2. RESTRICTIONS AND RESPONSIBILITIES
    2.1 Restrictions on Use
    Customer agrees not to:
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code, object code, or underlying structure, ideas, know-how, or algorithms relevant to the Services or related software, documentation, or data (“Software”).
  • Modify, translate, or create derivative works based on the Services or Software, except as explicitly allowed by Telestar.
  • Use the Services or Software for timesharing, service bureau purposes, or the benefit of a third party.
  • Remove proprietary notices or labels from the Services or Software.

2.2 Compliance with Policies and Laws
The Customer represents and warrants that their use of the Services will comply with:

  • Telestar’s standard published policies.
  • All applicable laws and regulations.

The Customer agrees to indemnify Telestar from any claims, damages, or expenses arising from violations of this section. Telestar reserves the right to monitor use of the Services and prohibit any use deemed in violation.
2.3 Customer Responsibilities
The Customer is responsible for:

  • Procuring and maintaining necessary equipment and services for accessing Telestar’s Services, including hardware, software, servers, and network components.
  • Maintaining security for their equipment, account credentials, and usage under their account, whether authorized or unauthorized.
  1. CONFIDENTIALITY; PROPRIETARY RIGHTS
    3.1 Confidentiality
    Both parties agree to safeguard confidential information (“Proprietary Information”) disclosed by the other party, taking reasonable precautions and not disclosing such information except as necessary to fulfill the terms of this Agreement. Confidentiality does not apply if the information:
  • Becomes publicly known without breach.
  • Was lawfully known prior to disclosure.
  • Is disclosed lawfully by a third party.
  • Is independently developed without the use of Proprietary Information.
  • Must be disclosed by law.

3.2 Ownership of Data and Intellectual Property

  • Customer retains ownership of all Customer Data provided to Telestar.
  • Telestar retains all rights, title, and interest in the Services, Software, modifications, and related intellectual property.

3.3 Data Use and Analytics
Telestar may collect and analyze data related to the use of its Services to improve performance. Telestar may disclose aggregated, anonymized data publicly or to third parties.
4. PAYMENT OF FEES
4.1 Fees and Billing
Customer agrees to pay fees specified in the Order Form. Additional fees may apply if usage exceeds agreed capacities. Telestar may adjust fees upon renewal with 30 days’ notice. Disputes must be notified within 30 days of invoicing.
4.2 Invoicing and Late Payments
Payments are due within 30 days of invoice receipt. Late payments incur a 1.5% monthly fee or the maximum permitted by law. Non-payment may lead to immediate termination of Services.
5. TERM AND TERMINATION
5.1 Term
This Agreement remains effective for the Initial Service Term specified and renews automatically unless 30 days’ notice of termination is provided by either party.
5.2 Termination for Cause
Either party may terminate this Agreement with notice if a material breach remains uncured for 60 days after notice (or immediately for non-payment).
5.3 Effect of Termination
The Customer must pay all amounts due up to termination. No refunds are given for paid fees. Sections on payments, confidentiality, warranties, and liabilities survive termination.
6. WARRANTY AND DISCLAIMER
Telestar strives to maintain minimal errors and interruptions in Services. However, scheduled maintenance or unforeseen issues may cause downtime. Services are provided “as-is” without warranties regarding uninterrupted operation, fitness for particular purposes, or non-infringement.
7. LIMITATION OF LIABILITY
Telestar and its suppliers shall not be liable for:

  • Errors, data corruption, or business losses.
  • Indirect, incidental, consequential damages.
  • Events beyond reasonable control.
  • Aggregate damages exceeding fees paid by the Customer in the previous 12 months.
  1. MISCELLANEOUS
    8.1 Severability
    If any provision is unenforceable, it will be modified minimally to ensure enforceability of the remaining provisions.
    8.2 Assignment
    Customer cannot assign this Agreement without Telestar’s consent. Telestar may freely assign its rights and obligations.
    8.3 Entire Agreement
    This Agreement represents the entire understanding and supersedes prior agreements. Modifications must be in writing and signed by both parties.
    8.4 Relationship of Parties
    This Agreement does not establish an agency, partnership, or joint venture. The Customer cannot bind Telestar in any manner.
    8.5 Notices
    Notices must be written and delivered personally, electronically confirmed, or sent via courier or certified mail.
    8.6 Governing Law
    This Agreement is governed by the laws of the jurisdiction where Telestar’s primary place of business is located, without regard to conflict of laws principles. Parties agree to exclusive jurisdiction of courts within this jurisdiction for disputes arising from this Agreement.
